Plume is seeking an Assistant General Counsel to join our growing legal team. This role will provide strategic legal support across corporate and transactional matters. The ideal candidate is a proactive, detail-oriented attorney with 3-8 years of relevant experience and a passion for innovative technologies such as blockchain, crypto, web3, or fintech. The role offers a unique opportunity to contribute to cutting edge legal and regulatory developments related to digital assets, technology, and finance.
Corporate and Transactional Support: Provide comprehensive legal guidance on corporate governance, private placement, and venture capital transactions, including structuring, drafting, and negotiating term sheets, investment agreements, and related documents.
Contractual Matters: Draft, review, and negotiate a wide range of commercial contracts, including partnership agreements, vendor contracts, and licensing agreements, ensuring alignment with business objectives and compliance requirements.
Risk Management: Identify and mitigate legal risks associated with corporate transactions, business operations, and strategic initiatives.
Regulatory Compliance: Advise and implement policy as it relates to cutting edge regulatory matters impacting the company, including US and non-US securities laws and regulations, and stay abreast of rapidly evolving regulations in the crypto, web3, or fintech sectors.
Cross-Functional Collaboration: Partner with internal teams, including finance, product, and operations, to support business growth and ensure legal alignment with company goals.
Education and Licensure: Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar.
Experience: 3-8 years of intensive legal experience in corporate and transactional law, with a focus on private placement and venture capital transactions, gained at a reputable law firm and/or in-house legal department.
Technical Expertise: Strong knowledge of corporate governance, securities regulations, and contract law. Demonstrated experience drafting and negotiating complex transactional documents, including complex multilateral private placements.
Industry Interest: Demonstrated experience and/or strong interest in crypto, web3, or fintech is a significant plus.
