Responsibilities
- Lead M&A transactions including due diligence and negotiation of agreements
- Draft and negotiate purchase agreements, disclosure schedules, and ancillary documents
- Conduct and supervise legal due diligence on target companies
- Coordinate with outside counsel on complex transactions
- Advise executive leadership on transaction structures, risks, and strategic considerations
- Oversee company financing activities including debt and equity offerings and negotiate credit facilities
- Manage banking relationships from a legal perspective
- Ensure compliance with securities laws and regulations
- Advise on cash management and treasury operations
- Develop expertise and assess legal implications of emerging AI technologies applicable to business operations
- Collaborate with business units on strategic initiatives
- Represent the company in negotiations with financial institutions and counterparties
- Report directly to the CEO
Education
- JD from an accredited law school
- MBA from an accredited institution
